Denon 3806 questions

Recently my old JVC dvd player died, so I'm thinking of buying a Denon 2910 player. Also I want to upgrade my JVC reciever to the Denon 3806. The speakers I'm using are:

Center:1 Infinity CC3 150w
Fronts: 2 Infinity RS5 200w
Rears 2 Infinity RS1 100w
Subs: 2 BU-120's

The question is will there be a problem with my back speakers since the Denon outputs 120 watts per channel and they are shy 20 watts? Also will this be a good match, reciever, dvd, speakers?

Would it be ok to set the reciever on top of the dvd player in my rack, or will it be to heavy?

Also is 2 inches above this reciever ok with fans? Thats how my JVC was running.
